TakAsu Commission Terms of ServiceBy commissioning the Artist, the Client agrees to the following terms:A. ENGAGEMENT
1. The Client provides clear and complete requirements and expectations upfront, including reference materials or assets before the Work begins.
2. The Client warrants that the character design and reference material provided to the Artist are legally obtained and authorised for use by the Client.
3. The Client is solely responsible for ensuring all provided materials are original and non-infringing. The Artist is not liable for any infringement arising from materials supplied by the Client.
4. The Artist reserves the right to refuse projects or requests based on content, subject, or other reasons.
5. The details set forth by the Artist, including the price, deliverables and other details for the project, shall be agreed upon by the Client before the Work begins.B. TIMELINE & PROCESS
1. The estimated turnaround time is a minimum of 1 week and may extend to 4 weeks depending on project complexity and queue.
2. Rush orders may be available for an additional fee, depending on availability.
3. If there are any delays and adjustments to the timeline, the Artist will inform the Client.C. REVISIONS
1. Major revisions are allowed during the initial sketch process.
2. After the draft is approved, only minor revisions (small color adjustments, minor details) are allowed.
3. Requests that constitute a change in the scope of the project (adding a new character, completely changing the pose) will require a new quote and adjusted timeline.
4. Additional charges may be required for excessive revisions beyond what is reasonable.
5. All revisions may affect the project timeline.D. COMMUNICATION
1. Ongoing communication and discussion will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.
2. Communication channels include Discord and Twitter.
3. If the Client fails to respond within 3 (three) days after the Artist has requested feedback, approval, or additional information, the Artist reserves the right to proceed to the next stage of the illustration process at their own discretion. Any revisions related to missed feedback may incur additional fees.E. RIGHTS, USAGE & CREDITS
1. The Artist retains all copyright and intellectual property rights to the commissioned Work. This means the Artist owns the artwork. The Client is purchasing a license to use the artwork under the terms specified in this agreement, not the artwork itself.
2. The Artist expressly reserves the right to: Display, reproduce, and use the Work for self-promotion in their portfolio, on websites, social media, print collections, public broadcasts, and in any other media. Use the Work and any preliminary sketches or work-in-progress materials for advertising, teaching, or demonstration purposes. Retain and display the Work in their personal and professional collections.
3. Personal Use License: The Client receives exclusive, non-transferable usage rights to the Work for personal use. This grants the client the right to display the artwork on non-monetized websites, social media profiles, and personal collections, provided they credit the artist [E6]. The artwork may not be used for any financial gain, promotional purposes, or commercial activity under this license.
4. Monetized Content License: The right to use the commissioned Work (the “Artwork”) on monetized platforms such as live streams, YouTube videos, podcasts, or any other revenue-generating online media (“Monetized Content Use”) is not included in the standard Personal Use License. This right requires the purchase of an additional Monetized Content License, the terms and fee for which must be explicitly agreed upon in writing before the work begins.
5. Commercial Merchandising License: Rights for commercial merchandising, advertising, or branding use including but not limited to printing the Artwork on physical goods for sale (e.g., t-shirts, posters, mugs), using it as a company logo, trademark, or in major marketing campaigns (“Commercial Use”) are expressly prohibited under the standard Personal Use and Monetized Content licenses. These rights require a separate, negotiated Commercial Merchandising License and a significantly higher fee.
6. Crediting. The Client agrees to credit the Artist (e.g., "Art by TakAsu @ArtTakasu") whenever displaying the Work online in a reasonable and visible manner.
7. Usage of Work for AI (artificial intelligence) tools, platforms or programs, ML (machine learning) tools, platforms or programs, AI or ML training, NFT, blockchain, or other for-profit platforms/purposes, is strictly prohibited.F. PAYMENTS & FEES
1. The Client must submit a non-refundable deposit of 50% of the total fee before the Artist begins work. The remaining 50% balance must be paid in full before the Artist proceeds to the final rendering phase. The Artist reserves the right to pause work until the balance is received.
2. Invoices must be paid within 48 hours, or the project may be cancelled.
3. Prices may vary or change depending on complexity, requirements and/or additional requests.
4. Once Work has begun or payments have been made, the Client acknowledges the Work and deliverables are digital and there are no physically shipped goods to receive.
5. The Client warrants they will not issue chargebacks and the refund policy mentioned below will be followed [G].G. CANCELLATION & REFUNDS
1. The Client cannot request a cancellation after payment has been made unless initiated by the Artist.
2. If the Artist is unable to complete the commission due to unforeseen circumstances, a refund will be issued based on the work completed.
3. The Artist reserves the right to cancel the commission due to Client misconduct, failure to communicate for over 30 days, or violation of this Agreement. In such a case, a refund will be issued minus a non-refundable deposit and a fee for work already completed.H. APPROVAL & DELIVERY
1. The final work will be delivered via Google Drive. The Client has 7 business days to report any errors or issues with the delivered files. After this period, the Work is considered approved and accepted, and the project is complete.
